We do not guarantee their accuracy, completeness or reliability. 1. Introduction

These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of the website https://profecom.in/ and all related services (collectively, the “Services”) provided by Profecom (“Profecom”, “we”, “us” or “our”), operated by Profecom, having its registered office at Surat, Gujarat.

You must be of legal age to enter into a binding agreement to accept these Terms. By creating an account, checking a checkbox, clicking a button indicating acceptance, or simply by using the Services, you agree to be bound by this Agreement. If you do not agree to these Terms, please do not use the Services.

In this document, words in bold carry the same meaning every time they appear.

2. Definitions

You / Your: means the individual, e-commerce seller, business or entity using or authorised to use the Services, including its employees, partners or representatives.

Profecom / we / us / our: refers to Profecom, the platform offering profit, loss and business analysis tools for sellers on e-commerce marketplaces such as Meesho, Flipkart and Amazon.

Services: means all tools, dashboards, reports, calculators and features made available by Profecom now or in the future, including profit and loss analysis, order reconciliation, expense tracking, and related analytics.

Subscriber: means a user who has created an account and/or purchased a paid subscription to access the Services.

Marketplace Data: means the order, payment, settlement, return and other data you upload, sync, or connect from third-party platforms such as Meesho, Flipkart, Amazon or any other e-commerce marketplace.

3. About Our Services

Profecom helps e-commerce sellers calculate profit and loss, track expenses, reconcile orders against marketplace payouts, and generate business analysis reports for platforms including but not limited to Meesho, Flipkart and Amazon. The exact features available to you depend on your subscription plan.

4. Account and Subscription

4.1 Creating an account: To use most features of the Services, you must register for an account and provide accurate, current and complete information, including a valid email address and mobile number.

4.2 Subscriber responsibility: If you are the subscriber, you are responsible for all activity on your account, for managing who has access to it, and for ensuring your subscription is renewed on time for uninterrupted access. Because Profecom stores sensitive business and financial data, we strongly recommend that you do not share your login credentials with third parties and only grant access to trusted, authorised personnel within your own organisation.

4.3 Account security: You are responsible for keeping your username and password confidential and for using a strong password. You must notify us immediately of any unauthorised use of your account or any other breach of security.

4.4 Right to use the Services: Subject to your compliance with these Terms and payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable right to use the Services for as long as your subscription or free trial remains active.

5. Free Trial

Profecom may offer a free trial period for new users, on the terms communicated at the time of sign-up. Once the free trial ends, access to certain features may be limited or paused. To continue using the Services beyond the trial period, you will need to select and pay for a paid subscription plan. We do not automatically charge you or auto-renew a paid subscription at the end of a free trial; you remain in control of whether and when you upgrade.

6. Pricing, Payment and Billing

6.1 Subscription fees: Use of paid features of the Services requires payment of the subscription fee applicable to your selected plan, as displayed on our website at the time of purchase. We may update our pricing plans from time to time; such changes will not apply retrospectively to a subscription period you have already paid for.

6.2 Taxes: Unless stated otherwise, subscription fees are exclusive of applicable taxes (such as GST), which will be charged in addition where applicable, in accordance with Indian law.

6.3 Timely renewal: To avoid interruption, you must renew your subscription before it expires. If you do not renew on time, we may suspend your access until payment is made, and you may lose eligibility for any promotional pricing previously available to you.

6.4 Refund policy: Except as required by applicable law or as expressly stated in our Refund Policy (https://profecom.in/refund-policy), subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, downgrades or unused time.

7. Marketplace Data and Use of Data

7.1 Data you provide: When you upload, sync or connect Marketplace Data (such as order reports, payment/settlement reports, or other files from Meesho, Flipkart, Amazon or other platforms) to generate profit, loss and other analysis, you remain the owner of that data. You grant Profecom a worldwide, royalty-free licence to access, process, store, analyse and back up such data to provide, maintain, secure and improve the Services. You further agree that Profecom may use Marketplace Data in an aggregated and/or anonymised form (such that it does not identify you or any individual) for analytics, benchmarking, product improvement, research, and the development of new features, without restriction and without any payment or accounting to you.

7.2 Accuracy of source data: The accuracy of any profit, loss, or other analysis generated by the Services depends on the accuracy and completeness of the data you upload or connect. Profecom is not responsible for errors arising from incorrect, incomplete or outdated data provided by you or fetched from a third-party marketplace.

7.3 Privacy: Our collection and use of personal data is described in our Privacy Policy (https://profecom.in/privacy-policy), which forms part of this Agreement. Please review it to understand how we handle your information.

7.4 Confidentiality: We take reasonable technical and organisational measures to protect the confidentiality of the business and financial data you share with us, and we expect you to take similar care in protecting any confidential information you receive from us.

8. Third-Party Marketplaces and Integrations

The Services may connect with or rely on data from third-party e-commerce platforms such as Meesho, Flipkart and Amazon. Profecom is not affiliated with, endorsed by, or responsible for the operations, policies, availability or data accuracy of these third-party platforms. Your use of any such platform remains subject to that platform's own terms of service. Profecom is not liable for any downtime, API changes, data discrepancies or service interruptions caused by a third-party marketplace.

8.1 Use of third-party names and logos: References to, and the names and logos of, third-party marketplaces such as Meesho, Flipkart, Amazon, and any other platform mentioned or displayed on the website or within the Services are used solely for the purpose of identification and to describe the platforms that the Services support — for example, to indicate that you can upload or analyse order data originating from these marketplaces. All such names, trademarks, logos and brand assets are the property of their respective owners. Use of these names or logos on https://profecom.in/ does not imply any affiliation, sponsorship, partnership, or endorsement by, or business connection with, Meesho, Flipkart, Amazon, or any other third party, unless expressly stated otherwise.

8.2 Client logos and testimonials: Where Profecom displays the name, logo, or brand mark of a customer, client, or business partner on the website (for example, in a client list, case study, or testimonial section), this is done with the relevant party's prior consent for the limited purpose of identifying them as a user of the Services. If you are a customer or partner and you wish to have your name or logo removed from the website, please contact us at info@profecom.in and we will act on such request within a reasonable time.

8.3 Reporting misuse: If you are a trademark owner, including a marketplace or business whose name or logo appears on the website, and you believe such use is inaccurate, unauthorised, or should be removed, please contact us at info@profecom.in and we will review and address the concern promptly.

9. Intellectual Property and Acceptable Use

All content on the website and within the Services — including but not limited to text, graphics, software, source code, object code, algorithms, calculation methodologies, design, page layout, underlying technology, the look and feel of reports and dashboards, and all Profecom trademarks, logos and brand features — is the exclusive property of Profecom or its licensors, except for Marketplace Data, other content you upload, and any third-party trademarks or logos referred to in Section 8, which remain the property of their respective owners. Nothing in this Agreement transfers any intellectual property rights to you. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Services as set out in Section 4.4. You may not copy, reproduce, distribute, sell, sublicense, modify, decompile, disassemble, reverse-engineer, or create derivative works from any part of the Services, including the methodology used to compute profit, loss, fees or other analysis, without our prior written permission.

We reserve the right, but not the obligation, to monitor use of the Services, investigate suspected violations of this Agreement, and take any action we deem appropriate, including suspending or terminating accounts, without prior notice and without any liability to you, where we reasonably believe a violation has occurred.

10. Security

We implement reasonable technical, physical and administrative safeguards to help protect your account and data. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security. You are responsible for keeping your login credentials secure and for promptly notifying us of any suspected unauthorised access to your account.

11. Availability, Maintenance and Data Loss

11.1 Availability: We aim to keep the Services available at all times but may need to carry out planned or emergency maintenance, which may result in temporary downtime. We will try to notify you of planned maintenance in advance where practical, but cannot always guarantee this.

11.2 Data loss: While we take reasonable steps to back up data, technology carries an inherent risk of data loss. We strongly encourage you to keep your own copies/exports of important reports and data. Profecom is not liable for any data loss, corruption or related consequences beyond making reasonable efforts to assist with recovery from available backups.

11.3 Updates: We may release updates, new features or modifications to the Services, and may discontinue features from time to time. We will try to notify you of material changes where practical.

12. Accuracy, Reliability and No Professional Advice

Profecom is a software analysis tool and is not a chartered accountancy, tax, legal, investment or other professional advisory firm, and nothing in the Services constitutes professional advice of any kind.

12.1 No guarantee of accuracy: Any profit, loss, expense, fee, or other figures, reports, insights, charts, or analysis generated by the Services (“Outputs”) are computed automatically based on the Marketplace Data and other information you upload, sync, or connect, and on the calculation logic applied by Profecom at the relevant time. Such Outputs may be affected by incomplete, delayed, mismatched, or inaccurate source data, by changes to a marketplace's own reporting format, fee structure, or settlement methodology, or by errors, bugs, or limitations in the Services. Profecom does not guarantee, warrant, or represent that any Output is complete, accurate, current, or free of error, and you should independently verify any Output before relying on it.

12.2 Informational purposes only: All Outputs are provided for general informational and business-management purposes only, to help you understand and monitor your own e-commerce operations. They are not, and must not be treated as, a substitute for professional financial, tax, legal, investment, or accounting advice, and must not be solely relied upon for filing tax returns, financial statements, regulatory submissions, investment decisions, or any other compliance or business-critical purpose.

12.3 Consult a qualified advisor: Before making any business, financial, investment, tax, or compliance decision based on, or influenced by, any Output of the Services, you should consult and obtain advice from a qualified Chartered Accountant, tax practitioner, financial advisor, or other relevant professional. You acknowledge and agree that you act entirely at your own risk and discretion in relying on the Services, and that Profecom shall have no liability whatsoever for any loss, damage, tax demand, penalty, regulatory action, missed opportunity, or business decision arising from your reliance on any Output without independent professional verification.

13. Termination

13.1 By you: You may stop using the Services and/or cancel your subscription at any time, subject to our Refund Policy.

13.2 By Profecom: We may suspend or terminate your account or access to the Services, with or without notice and at our sole discretion, if you breach these Terms, fail to pay applicable fees on time, provide false or misleading information, or engage in conduct that we reasonably believe is harmful, fraudulent, abusive, or damaging to Profecom, other users, or third parties. We may also suspend or discontinue all or part of the Services for business or operational reasons, with reasonable notice where practicable.

13.3 Effect of termination: Upon suspension or termination for any reason, your right to access the Services ceases immediately, any data stored within your account may be restricted or deleted in accordance with Section 11.2 and our data retention practices, and no fees already paid shall be refunded except as expressly required under our Refund Policy. Sections of this Agreement that by their nature should survive termination (including Sections 9, 14, 15, 16, 19 and 20) shall survive.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. We do not warrant that any profit, loss or other analysis generated by the Services will be free of errors, omissions or inaccuracies, particularly where such inaccuracies result from the data you upload, connect, or that we receive from third-party marketplaces. You acknowledge that you use the Services and rely on any output at your own risk, and that you remain solely responsible for independently verifying any figures before relying on them for business, tax, or compliance purposes.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

You agree to defend, indemnify and hold harmless Profecom, its directors, officers, employees, affiliates and licensors from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal and attorney's fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Services; (c) the data you upload, connect or provide, including any inaccuracy, illegality, or infringement of third-party rights contained therein; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights, including intellectual property or privacy rights. This indemnity obligation shall survive termination of this Agreement and is not subject to the liability cap in Section 15.

17. Links to Other Websites

The website may contain links to third-party websites or services that are not owned or controlled by Profecom. We are not responsible for the content, accuracy, or practices of any third-party websites, and the inclusion of a link does not imply our endorsement of that website.

18. Events Outside Our Control

Profecom shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to internet outages, third-party marketplace API changes, government regulatory changes, natural disasters, or other force majeure events.

19. Dispute Resolution and Jurisdiction

In the event of any dispute or claim arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably within 30 (thirty) business days. If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by a sole arbitrator appointed by Profecom, in accordance with the Arbitration and Conciliation Act, 1996 (and any statutory modification or re-enactment thereof). The seat, venue and place of arbitration shall be Surat, Gujarat, and the language of arbitration shall be English. The arbitration award shall be final and binding on both parties. Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise. All disputes shall be resolved on an individual basis, and you agree not to bring or participate in any claim as part of a class, consolidated, or representative action. Subject to the foregoing, the courts at Surat, Gujarat alone shall have exclusive jurisdiction over any matters arising from these Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Changes will not apply retrospectively. Where we make material changes, we will make reasonable efforts to notify you, such as by email or a notice on our website, and will indicate the “Last updated” date at the top of this page. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
